TERMS AND CONDITIONS

This Agreement (“Agreement”) is a legally binding contract between MAS9 USA Corp. (“MAS9,” “we,” “us,” or “our”) and the entity that signs an Order Form (“Customer,” “you,” or “your”). It governs use of the MAS9 web- and mobile-based software and related services (collectively, the “Service”) by Customer and its authorised employees, contractors, and volunteers (“Staff”).

This Agreement (“Agreement”) is a legally binding contract between MAS9 USA Corp. (“MAS9,” “we,” “us,” or “our”) and the entity that signs an Order Form (“Customer,” “you,” or “your”). It governs use of the MAS9 web- and mobile-based software and related services (collectively, the “Service”) by Customer and its authorised employees, contractors, and volunteers (“Staff”).
1. Definitions

Affiliate – an entity controlling, controlled by, or under common control with a party.
Order Form – MAS9-issued document (electronic or paper) describing subscribed modules, locations, fees, term, and any add-ons.
Service – the MAS9 software-as-a-service platform, mobile apps, hosted websites, e-commerce storefronts, SEO/maintenance work, One-Click eStore module, SMS and push-notification services, invoice module, AI chatbot and “Student Test-Readiness” features, support, and any other modules specified in the Order Form.
Customer Data – all data submitted to the Service by Customer or its Staff, including Personal Data, Student Data, content, and payment information.
Personal Data – information relating to an identified or identifiable natural person.
Student Data – Personal Data relating to a student under 18 years of age.
Usage Data – telemetry or analytics generated by the Service that do not identify individuals.
Confidential Information – non-public information that is designated or reasonably understood to be confidential.
SMS Credits – prepaid message credits deducted per outbound 160-character segment sent through the Service.
Merchant of Record – the party financially responsible for an e-commerce transaction; MAS9 is not the Merchant of Record for school-run storefronts.

2. Subscription & License

2.1 Grant. Upon timely payment of all fees, MAS9 grants Customer a non-exclusive, non-transferable, non-sublicensable licence for its Staff to access and use the subscribed Service during the Term solely for internal management of Customer’s martial-arts school(s).
2.2 Restrictions. Customer shall not (i) copy, modify, or create derivative works of the Service; (ii) reverse-engineer or decompile the Service; (iii) commercialise, rent, or resell the Service to third parties; (iv) use the Service to build a competing product; or (v) remove or alter proprietary notices.
2.3 Feature Tiers. Specific modules available depend on the subscription tier indicated in the Order Form. MAS9 may add, change, or retire modules with at least 60 days’ notice.

Customer will:
a) keep all login credentials confidential and ensure Staff comply with this Agreement;
b) obtain and document all consents required to upload Customer Data, including verifiable parental consent under COPPA where applicable;
c) comply with all laws (TCPA, CAN-SPAM, COPPA, FERPA, CCPA, GDPR, and others) when sending email, SMS, or push notifications, and honour end-user opt-out settings;
d) not transmit malicious code, infringing content, or unsolicited marketing without proper opt-ins;
e) verify the accuracy of any AI-generated advice before relying on it; and
f) use the One-Click eStore module solely to sell its own goods and not sublicense or redistribute that module.
Customer will:

4. MAS9 Obligations & Support

4.1 Service Levels. MAS9 will provide at least 99 % monthly uptime (Exhibit A) and the support described in Exhibit B.

5. Fees, Payment, and SMS Credits

5.1 Fees & Billing. Fees and billing frequency are set forth in the Order Form. Subscriptions auto-renew for successive terms unless either party gives 30 days’ written notice of non-renewal (in-app cancellation accepted). Module prices may change on renewal; MAS9 will provide at least 30 days’ notice.
5.2 SMS Credits. Outbound SMS messages deduct one credit per 160-character segment. When the balance falls below the dashboard threshold, MAS9 may auto-recharge in blocks of credits at the then-current dashboard price. MAS9 is not liable for carrier outages or message filtering.
5.3 Overdue Amounts. Late payments accrue 1.5 % interest per month (or the maximum lawful rate). MAS9 may suspend the Service after 30 days’ delinquency with 5 business-day notice; Customer Data will be retained during suspension and the Service reactivated upon full payment.

6. Website Service

Definition. “Website Service” means MAS9’s design, development, hosting, SEO maintenance, and ongoing support for Customer’s public-facing website and e-commerce storefront.
6.1 Minimum Term. Customer shall maintain an active Website Service subscription for at least twelve (12) consecutive months starting on the earlier of (a) the date the site goes live or (b) thirty (30) days after MAS9 delivers the initial design preview (“Website Minimum Term”).
6.2 Early Termination Fee. If Customer cancels the Website Service before the Website Minimum Term ends, Customer shall pay an Early Termination Fee equal to all remaining Website Service fees that would have been due through the end of the Website Minimum Term.
6.3 Cancellation After Minimum Term. After the Website Minimum Term, Customer may cancel the Website Service at any time with thirty (30) days’ written notice delivered via the MAS9 dashboard or by email to legal@mas9.com.
6.4 Domain Registration and Renewal. Customer is solely responsible for registering, renewing, and paying all fees for its domain name(s). MAS9 has no obligation to advance or reimburse domain costs and disclaims all liability for site unavailability caused by Customer’s failure to maintain an active domain.
6.5 Post-Cancellation Use Prohibited. Upon any cancellation or termination of the Website Service, Customer’s licence to use the MAS9-built website—including all templates, layouts, graphics, underlying code, and the patented One-Click eStore functionality—immediately terminates. Customer shall promptly cease hosting, displaying, copying, or otherwise using the MAS9-built site or any derivative thereof on any domain or server, whether or not controlled by MAS9.
6.6 No Content Export. All materials incorporated into the MAS9-built website (including text, images, media, product data, and code) are MAS9 intellectual property. Customer acknowledges that, upon cancellation, no content or data of any kind may be exported, copied, or reused without MAS9’s prior written consent.

7.2 Privacy & Compliance. MAS9 processes Personal Data in accordance with its Privacy Policy and acts as a “School Official” under FERPA. Payment data are tokenised; MAS9 is PCI DSS Level 2 compliant and does not store full card numbers.
7.3 AI Features. AI chatbot, analytics, and test-readiness outputs are provided for informational purposes only. MAS9 makes no warranty of accuracy, and Customer remains responsible for verifying outputs before acting on them.
7.4 Security Measures. MAS9 uses industry-standard administrative, technical, and physical safeguards, including encryption in transit and at rest. MAS9 will notify Customer without undue delay of any data incident affecting Customer Data.
7.5 Aggregated & Marketing Use. MAS9 may use Usage Data and de-identified aggregates for analytics and product improvement. MAS9 may use Customer contact information for direct marketing only with legally sufficient consent, which may be withdrawn at any time.
7.6 Data Retention & Deletion. Upon termination, MAS9 will retain Customer Data for up to 12 months for archival or potential re-activation. Customer may request earlier deletion, and MAS9 will comply within 30 days unless legal retention duties apply.
7.7 Data-Processing Addendum. If Customer is subject to GDPR or CCPA, the MAS9 Data-Processing Addendum (available at the URL provided in the Order Form) automatically forms part of this Agreement.

8. Intellectual Property Rights

MAS9 and its licensors retain all right, title, and interest in the Service and related IP. Customer receives no rights except those expressly granted. Customer grants MAS9 a royalty-free licence to display Customer’s name and logo as a MAS9 customer; Customer may opt out at any time by emailing legal@mas9.com.

9. Warranties & Disclaimers

10.2 Customer Indemnity. Customer will defend MAS9 against claims arising from Customer Data, Customer’s legal violations, or misuse of the Service and will pay resulting damages.

12.1 Term. This Agreement begins on the Order Form effective date and continues for the Service Term, renewing per Section 5.1.

13. Third-Party Services & E-Commerce

MAS9 hosts e-commerce tools, but each school (Customer) is solely responsible for product fulfilment, refunds, chargebacks, and compliance with consumer-protection laws. MAS9 is not the Merchant of Record and disclaims liability for storefront transactions or PCI obligations beyond its hosting role.

Governing Law: New Jersey; exclusive venue in the state or federal courts located in Bergen County, NJ. Force Majeure applies. Neither party may assign this Agreement without the other’s consent, except to an Affiliate or in a merger or sale of substantially all assets. Notices may be sent by email. MAS9 may update this Agreement by posting a revised version and giving 30 days’ notice; continued use constitutes acceptance. This Agreement, the Order Form, the Privacy Policy, and any Data-Processing Addendum constitute the entire agreement. If any provision is unenforceable, the remainder survives. Waiver requires a signed writing. The prevailing party in any action is entitled to reasonable attorneys’ fees. Electronic signatures and counterparts are effective.
